                 Inchcape plc - Directors' Interests in Shares



On 6 October 2004, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 50,882 Ordinary Shares of 150p each in
the Company to individuals exercising awards granted under the Inchcape Deferred
Bonus Plan.

As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Alan Ferguson and Graeme Potts, is treated as
being interested in all shares held by the Trust.
