India Capital Growth Fund Limited (the 'Company' or 'ICGF')

Notice to Warrantholders

In accordance with the terms of the Instrument Constituting Warrants to Subscribe for Ordinary Shares dated 16 December 2005, a Notice is today being mailed to holders of warrants notifying them that the printed Annual Report and audited accounts of ICGF for the year ended 31 December 2008 will be posted to shareholders on 26 March 2009, and accordingly the 2009 Subscription Period for the exercise of warrants will run from 23 April 2009 to 21 May 2009. Warrants not exercised in the 2009 Subscription Period will remain valid for exercise in the Subscription Periods in 2010 and 2011 on the same terms. A copy of this Notice will be available on the Company's website www.indiacapitalgrowth.com.
