Adjournment of EGM

Infrastructure India plc (LSE: IIP - Ordinary Shares, IIPW - Warrants), the investment company focusing on Indian infrastructure assets, released an announcement on 26 February 2009, regarding the proposed acquisition by the Company of the entire issued share capital of Bloomsbury Asset Management Advisors ('BAMA'), the investment adviser to the Group, and the convening of an extraordinary general meeting to, inter alia, approve the acquisition of BAMA.

The Board of the Company, being mindful of the apparent actions of certain shareholders in relation to votes cast, has decided to adjourn the extraordinary general meeting, to seek further clarification. The revised date for the adjourned extraordinary general meeting will be provided to shareholders once the Board has clarified matters.

Aside from those votes cast by the shareholders referred to above, as at 14 March 2009 (being the latest practicable date prior to the publication of this announcement), the Company had been notified that the proxy votes cast in respect of the resolutions relating, inter alia, to the approval of the acquisition of BAMA had been approximately 82.4% in favour and 17.6% against.  

A further announcement will be made in due course.
