Delyn Group Plc (to be renamed ingenta plc) to Acquire
Publishers Communication Group
June 1, 2000 - ingenta, the global research gateway, today
announced that it has agreed to acquire privately-held
Publishers Communication Group, Inc. (PCG). The company
provides marketing services to publishers, negotiating
electronic licensing arrangements and helping them promote
sales of individual titles to library markets in the US and
Europe.
The acquisition complements ingenta's existing range of
services which help publishers to host and serve their
material online and sell individual articles to libraries and
end users over the Web.
The terms of the acquisition include payment of up to US
Dollar 1.5million in cash, subject to adjustment to the extent
that audited net assets as at 31 May 2000 differ from US
Dollar 150,000. In the year to 31 March 2000, PCG generated
sales of US Dollar 1 million and pro forma adjusted profits
before tax of US Dollar 168,000.
'There is considerable synergy between PCG and ingenta,' said
Mark Rowse, ingenta's CEO. 'PCG offers services which help
publishers generate revenues from the sale of subscriptions to
their titles. It is also performing a crucial role in
negotiating licenses between libraries and publishers for the
delivery of electronic information. The acquisition therefore
consolidates our position as a generator of revenues for
publishers, both through pay per view and the more traditional
subscription-based business model.'
PCG, which is based close to ingenta's offices in Cambridge,
Mass, supplements ingenta's current service offering to
publishers by adding a subscription sales, marketing and
consulting element. Through its international network of
library contacts, PCG helps their clients, including
publishers such as John Wiley, American Institute of Physics
and MCB University Press, grow their businesses, develop
stronger relationships with libraries, and generate and retain
library subscriptions for their journals. PCG's staff provide
sales representation, conduct on-site visits, undertake
telemarketing programs, sell advertising space in journals,
perform market research and run focus groups.

2000 it became listed on the AIM market of the London Stock
Exchange.
