RE: Warrant Replacement

KleenAir Systems International plc ("the Company")has agreed to issue a
replacement for the warrant granted to Consensus Business Group Limited
("Consensus")that expired on 24 March 2006., The Company has received a payment
of £25,000.00 from Consensus for the new warrant.  The warrant gives Consensus
the right to subscribe to a total of 1,111,112 Ordinary 1p Shares in the Company
at a price of 45 pence per share until 26 April 2007.  The number of shares that
can be subscribed for and the exercise price remain the same as under the
previous warrant.  The issue of the warrant is subject to shareholder approval
at the Company's AGM on 25 May 2006.
