Intercede, the leading cybersecurity software company specialising in digital identities, announces that it has applied for 225,000 new ordinary shares of 1p each in the capital of the Company ("Ordinary Shares") to be admitted to trading on AIM ("Admission"). Admission is expected to occur at 8.00 a.m. on or around 11 July 2024.

 

The new Ordinary Shares are being issued pursuant to an exercise of options, held under the Company's Enterprise Management Incentive Plan, by an employee of the Company. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.

 

Issue of Equity

Following Admission, the Company's issued share capital consists of 58,830,857 Ordinary Shares, each with voting rights. The Company holds 131,645 Ordinary Shares in treasury, therefore the total number of voting rights in the Company is 58,699,212. Accordingly, the figure of 58,699,212 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.

Following Admission, there are total options outstanding over 3,598,205 Ordinary Shares, representing approximately 6.13% of the Company's issued share capital.
