                         Directors' Interests in Shares


On 1 April 2004, options were granted over InterContinental Hotels Group PLC
ordinary shares under the Company's Executive Share Option Plan ("the Plan") to
eligible employees, including the following executive directors of the Company.

The rules of the Plan require the achievement of a performance condition before
any options can be exercised.



The options will be exercisable between April 2007 and April 2014.  The numbers
of shares referred to represent the maximum numbers that could be acquired if
the performance condition is met in full.
