                         Directors' Interests in Shares


The Company announces that the executive directors of InterContinental Hotels
Group PLC have been awarded a conditional right over the number of shares shown
below under the Company's Performance Restricted Share Plan.   The awards were
made on 24 June 2004.


The Plan requires the satisfaction of performance conditions before the
appropriate number of shares can be transferred to the Plan participant at the
end of the performance period (31 December 2006).


The following table provides details of the maximum number of shares that can be
transferred if the performance conditions are met in full.
