   INTERCONTINENTAL HOTELS GROUP ANNOUNCES RESULTS OF ANNUAL GENERAL MEETING

                             All resolutions passed

At the Company's Annual General Meeting held on 1 June 2006 all the resolutions
set out in the Company's Notice of Meeting to shareholders dated 1 March 2006
were proposed and duly passed.

Voting on each resolution was conducted by way of a poll.  Details of the votes
