SCRIP DIVIDEND SHARES AND SHAREHOLDINGS OF PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY ("PDMRS") OR THEIR CONNECTED PERSONS

Intermediate Capital Group plc (the "Company") was notified on 06 January 2011
of the transaction described below and hereby makes notification in accordance
with DTR 3.1.4R.

Following the offering of a scrip dividend in respect of the interim dividend
for the financial year ended 31 March 2011, the Company has allotted 2,094
ordinary shares to Justin Dowley who elected to receive a scrip dividend.



After the acquisition of the scrip dividend shares Justin Dowley's total holding
will be 112,092 which represents 0.028% of the total issued share capital of the
Company.

The  scrip dividend shares will be  allotted today, the interim dividend payment
date.   Applications  have  been  made  for  the admission of the scrip dividend
shares  to the Official List  of the UK Listing  Authority and to trading on the
London Stock Exchange's market for listed securities.
