EXERCISE OF SHARE OPTIONS

In accordance with the UK Financial Services Authority Disclosure and
Transparency Rule 3.1.4 Intermediate Capital Group PLC wishes to announce that
it was notified on 15 June 2011 that the following option exercise took place
pursuant to the rules of the Intermediate Capital group PLC 2001 Unapproved
Executive Share Option Scheme:

Date of exercise:15 June 2011

Number of ordinary shares in the Company
acquired on exercise 76,947


Number of ordinary shares sold to cover the option price,
liabilities for income tax and national insurance contributions 70,970

Number of shares retained 5,977

This option exercise has been satisfied by the issue of new ordinary shares in
the Company on 16 June 2011.

As a consequence of the above transaction, Christophe Evain and his connected
persons have an interest in 781,627 ordinary shares in the Company.
