On the same day, 7 December 2005, Mr Evain, sold 25,000 shares, being 0.04% of
the issued capital, at an average price of £13.975619 per share. All of the
shares sold were acquired as a result of Mr Evain's exercise of the share
options above. Following this transaction, Mr Evain's total holding is now
123,514 shares, representing approximately 0.18% of the total issued share
capital of Intermediate Capital Group PLC.
