Intermediate Capital Group plc ("the Company") - Annual Financial Report

Following the release on the 22 May 2012 of the Company's preliminary results for the year ended 31 March 2012 the Company announces the PUBLICATION OF THE ANNUAL REPORT AND ACCOUNTS FOR THE YEAR TO 31 MARCH 2012.

The Company also announces that its 2012 Annual General Meeting will be held at 2.00 p.m. on 10 July 2012 at Juxon House, 100 St Paul's Churchyard, London EC4M 8BU.

The Company has submitted copies of its Annual Report and Accounts for the year ended 31 March 2012 (the "Annual Report") to the National Storage Mechanism and these will shortly be available for inspection at http://www.morningstar.co.uk/uk/NSM.

A copy of the Annual Report is also available on the Company's website at http://www.icgplc.com/shareholders/shareholders.aspx.

Hard copies of the Annual Report, Notice of AGM, and Form of Proxy will be posted on or around 8 June 2012 to those shareholders who have elected to continue to receive paper communications.  The Notice of AGM and Form of Proxy will also be available on the Company's website on or around 8 June 2012.

Information required in compliance with DTR 6.3.5(2)(b) can be found within the preliminary results announced on 22 May 2012.
