Statement re Cancellation of Treasury Shares

Intermediate Capital Group plc (the "Company") - Cancellation of Treasury Shares

The Company refers to the 23,141,423 shares in the issued share capital of the Company that are held as treasury shares.  It hereby gives notice that, in accordance with the Company's articles of association, it has given instructions for 18,241,423 of these shares to be cancelled.

Following this cancellation, the total issued share capital of the Company (including remaining treasury shares) will be 385,182,720 ordinary shares of 20 pence each.  In accordance with the Disclosure and Transparency Rule 5.6.1, the Company's total number of shares with voting rights (excluding treasury shares) therefore remains unchanged at 380,282,270.

A total of 4,900,000 ordinary shares in the capital of the Company will continue to be held as treasury shares for general corporate purposes and hedging.
