 CHANGE TO CHAIRMANSHIP OF A COMMITTEE OF THE BOARD




 In accordance with Listing Rule 9.6.11 Intermediate Capital Group Plc (the
"Company") announces that in fulfilment of the Company's succession plan Peter
Gibbs, who was appointed a Non-Executive Director of the Company on 25 March
2010, has succeeded James Nelson as Chairman of the Remuneration Committee.
 James Nelson remains on the Board of the Company as Non-Executive Director and
will continue to serve as a member of the Company's Remuneration Committee.
