 ADDITIONAL LISTING OF SCRIP DIVIDEND SHARES AND SHAREHOLDINGS OF PERSONS
DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMRS") OR THEIR CONNECTED PERSONS
Intermediate  Capital Group PLC (the "Company")  announces that, pursuant to the
Company's  Scrip Dividend Scheme it has  received elections from shareholders to
receive  a total of  146,672 Ordinary Shares in  the Company in  lieu of cash in
respect  of all  or part  of their  final dividend  for the  year ended 31 March
2011, to be paid on 19 August 2011.

Application has been made to the UK Listing Authority for the listing of, and to
the  London Stock Exchange  for the admission  of, these shares  to the Official
List  and  to  trading  on  the  London  Stock Exchange's Main Market for listed
securities.   The shares will rank pari passu  in all respects with the existing
issued  ordinary shares  in the  Company and  it is  expected that dealings will
commence on 19 August 2011.

In  addition, the Company wishes  to notify the market  (as per DTR 5.6.1R) that
upon  admission of the shares on 19 August  2011 the issued share capital of the
Company  will  consist  of  399,587,044 ordinary  shares.   Each  ordinary share
carries  the  right  to  one  vote  in  relation to all circumstances at general
meetings of the Company.

The  above  figure  may  be  used  by  shareholders  as  the denominator for the
calculations  by which they will determine if  they are required to notify their
interest  in, or  a change  to their  interest in,  the Company  under the FSA's
Disclosure and Transparency Rules.

Intermediate Capital Group plc was notified on [17] August 2011 of the
transaction described below and hereby makes notification in accordance with DTR
3.1.4R.

Justin Dowley has made a valid election to receive his final dividend in the
form of shares in accordance with the Company's Scrip Dividend Scheme.  As a
result, on 19 August 2011 Justin Dowley will acquire 4,666 ordinary shares in
the Company at a price of 288.24 pence per share.

After the acquisition of the scrip dividend shares Justin Dowley's total holding
will be 116,758 ordinary shares.
