2014 Long Term Incentive Plan
On 24 July 2014 (the "Grant Date") Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") were granted conditional Share Awards over ordinary shares in the Company under the Royal Mail Long Term Incentive Plan (the "LTIP "), as set out below:

The Share Awards will normally vest and become exercisable under the LTIP on the third anniversary of the Grant Date, subject to the participant continuing to hold an office or employment within the Group and the achievement of three independent performance conditions measured over the three year period:
1. Earnings Per Share (EPS): applies to 50 per cent of the total number of shares held under the award,
2. Margin Growth: applies to 35 per cent of the total number of shares held under the award,
3. Total Shareholder Return (TSR): applies to 15 per cent of the total number of shares held under the award.
No consideration was paid for the grant of the Share Awards.
