                      First Annual General Meeting of the Company



The Directors are pleased to announce that the Company's First Annual General
Meeting was held yesterday at 11am at its registered office and to confirm that
all of the following resolutions were duly passed:



1.      To receive and adopt the audited accounts, the Directors' report, and
the Auditors' report for the period ended 31 December 2006.



2.      To approve the Directors' remuneration for the period ended the 31
December 2006 and for the period ended 31 December 2007.



3.      To re-appoint Keith Dorrian as Director of the Company, retiring in
accordance with the Company's Articles of Association.



4.      To re-appoint Rupert Dorey as Director of the Company, retiring in
accordance with the Company's Articles of Association.



5.      To re-appoint Giles Frost as Director of the Company, retiring in
accordance with the Company's Articles of Association.



6.      To re-appoint Carol Goodwin as Director of the Company, retiring in
accordance with the Company's Articles of Association.



7.      To declare a nil dividend for the period ended 31 December 2006, in
accordance with the statements made in the Company's prospectus and the
Directors' recommendation.



8.      To re-appoint Deloitte & Touche LLP, who have indicated their
willingness to continue in office, as Auditors of the Company to hold office
until the next Annual General Meeting.



9.      To authorise the Directors to determine Deloitte & Touche LLP's
remuneration.
