As part of the dual listed company structure, Investec plc and Investec Limited
notify both the London Stock Exchange and the JSE Limited of matters which are
required to be disclosed under the Disclosure and Listing Rules of the United
Kingdom Listing Authority (the 'UKLA') and/or the JSE Listing Requirements.
Accordingly, we advise of the following:
ADDITIONAL LISTINGS - INVESTEC PLC AND INVESTEC LIMITED
Investec plc announces that it has today issued 800,000 new ordinary shares of
GBP0.001 each in the capital of Investec plc to the Investec plc Jersey Number 1
Trust (the 'Investec plc Trust') pursuant to the exercise of vested share
options by staff under the Investec plc Share Option Plan 2002 (the 'Investec
plc Issue').
The total number of issued shares in Investec plc is now 75,433,746.
Approval has been granted for the admission of these shares to trade on the
London Stock Exchange and admission to the Official List (the 'Investec plc
Additional Listing'), with effect from the 4th July 2006. The shares shall rank
equally with the existing issued shares of Investec plc.
At the same time, Investec Limited issued 1,100,000 new ordinary shares of
ZAR0.001 each in the capital of Investec Limited to the Investec Limited
Security Purchase and Option Scheme 2002 Trust (the 'Investec Limited Trust')
pursuant to the exercise of vested share options by staff under the Investec
Limited Security Plan 2002 (the 'Investec Limited Issue').
The total number of issued shares in Investec Limited is now 45,099,527.
Approval has been granted for the admission of these to trading on the JSE
Limited, with effect from the 4th July 2006. The shares shall rank equally with
the existing issued shares of Investec Limited (the 'Investec Limited
Blocklisting').
Pursuant to the Black Economic Empowerment ('BEE') transaction announced on the
15th May 2003, the Investec Limited Trust will transfer 275,000 Limited ordinary
shares to the Investec Limited Security Purchase Scheme 2003 Trust (the ''BEE
Trust'') so as to maintain the BEE parties current holdings in Investec Limited
at 25,1%.
As a consequence of the Investec plc Issue and Investec Limited Issue we advise
of the following:
NOTIFICATION PURSUANT TO SECTION 198 OF THE UK COMPANIES ACT1985
Investec plc received notification from the Investec plc Trust that as a
consequence of the Investec plc Additional Listing the percentage holdings of
the Investec plc Trust in the issued share capital of Investec plc had changed
as set out in the tables below:
The total holdings of the plc Trust prior to the notification are laid out below:

Pursuant to section 324 of the UK Companies Act 1985, the Investec plc Trust
notified Investec plc that as a result of the Investec plc Issue, each of the
executive directors of Investec plc are deemed to be interested in the
additional 800,000 ordinary shares. This is because all the executive directors
of Investec plc (together with all of the employees of the Investec plc group)
are potential beneficiaries of the Investec plc Trust and are therefore treated
as interested in all the unallocated shares held by the Investec plc Trust.
At the same time, the Investec Limited Trust and BEE Trust notified Investec
Limited that as a result of the Limited Issue, each of the executive directors
of Investec Limited are deemed to be interested in an additional 1,100,000
Investec Limited ordinary shares of ZAR0.001 each. This is because all the
executive directors of Investec Limited (together with all of the employees of
the Investec Limited group) are potential beneficiaries of the Investec Limited
Trust and are therefore treated as interested in all the unallocated shares held
by the Investec Limited Trust.
