ATTRIBUTABLE INTERESTS IN THE SHARE CAPITAL OF INVESTEC PLC
As part of the dual listed company structure, Investec plc and Investec Limited
notify both the London Stock Exchange and the JSE Limited of those interests
(and changes to those interests) of (i) directors of both entities and the
respective company secretaries, (ii) persons discharging managerial
responsibilities (PDMRs) across the group, and (iii) in certain instances the
directors of major subsidiaries of Investec Limited, in the securities of
Investec plc and Investec Limited which are required to be disclosed under the
Disclosure Rules of the United Kingdom Listing Authority (the 'UKLA') and/or the
JSE Listing Requirements.
The Company received notification on the 3rd August 2006 of the following
changes to attributable interests in the capital of Investec plc as a
consequence of the allocation and issue on the 3rd August 2006 of Investec plc
non-redeemable, non-cumulative, non-participating preference shares of GBP0.01
each (the 'Preference Shares').
1. TRANSACTIONS IN INVESTEC PLC PREFERNCE SHARES OF GBP0.01 EACH.
(a) Transactions by Directors of Investec plc and Investec Limited - Mr Stephen
Koseff
As a consequence of the allocation and issue of the Investec plc Preference
Shares, certain Directors' indirect beneficial interests in the share capital of
Investec plc have increased as set out in the table below:

Following this notification, the above Director's total beneficial and
non-beneficial holdings and the total percentage interest these holdings

capital of Investec plc in compliance with Rules 3.63 - 3.74 of the JSE Listing
