As part of the dual listed company ('DLC') structure, Investec plc and Investec
Limited notify both the London Stock Exchange and the JSE Limited of matters
which are required to be disclosed under the Disclosure and Listing Rules of the
United Kingdom Listing Authority (the 'UKLA') and/or the JSE Listing
Requirements.


Accordingly, we advise of the following in conformity with the Transparency
Directive's transitional provision 6:


                    INVESTEC PLC - VOTING RIGHTS AND CAPITAL


Investec plc's capital consists of 378,999,372 ordinary shares of GBP0.0002 each
with voting rights. Investec plc holds 3,223,173 ordinary shares in Treasury.


Therefore, the total number of voting rights in Investec plc is 375,776,199.


The above figure (375,776,199) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Investec plc under the
Financial Services Authority's Disclosure and Transparency Rules.


Pursuant to the DLC structure, we also disclose the following:


Investec Limited's capital consists of 227,671,420 ordinary shares of ZAR0.0002
each with voting rights. Investec Limited holds 12,341,064 ordinary shares in
Treasury.
