In accordance with Clause 8.2(c) (Determinations and Notifications in respect of Notes and Interest Determination - Interest Determination - Fallbacks) of the amended and restated agency agreement dated 18 July 2019 relating to the Notes entered into, among others, between the Issuer and Deutsche Trustee Company Limited as trustee and Condition 13 (Notices) of the Notes, the Issuer gives notice to the holders of the Notes that following the occurrence of an Administrator/Benchmark Event in respect of the Reference Rate for the Notes (being the 3 months USD LIBOR rate) (the "LIBOR Reference Rate"), the Issuer had appointed an Independent Adviser to determine (i) the Alternative Reference Rate in relation to the LIBOR Reference Rate, (ii) the applicable adjustment spread, and (ii) any amendments required in respect of the terms and conditions of the Notes in connection with the proper operation of the Alternative Reference Rate (the "Determination").

Following the conclusion of the Determination, the Issuer has amended and restated the Final Terms relating to the Notes (the "Amended Final Terms") to reflect the Determination. Amongst other amendments, the Reference Rate in respect of the Notes, with effect from the Interest Period commencing in September 2023, shall be the compounded daily Secured Overnight Financing Rate calculated using the five U.S. Government Securities Business Day backward observation shift.

This notice is only intended to provide a summary of the primary amendment made in respect of the Notes following the Determination. Holders of Notes should refer to the Amended Final Terms for the full amendments made to the terms and conditions of the Notes.
