All resolutions put to the Annual General Meeting ('AGM') on 6th October 2004
were duly passed.

As set out in the Chairman's Statement in the Report & Accounts for the year to
31st March 2004, Paul Simms retired from his position as Chairman of the Board
and as a Non-Executive Director of the Company with effect from the conclusion
of the AGM.
