THE INVESTMENT COMPANY PLC (the 'Company')


RESULT OF EGM


The Company is pleased to announce that at the Extraordinary General Meeting
held earlier today, all resolutions were duly passed.


The Company will therefore shortly complete the acquisition of the entire issued
share capital of New Centurion Trust Limited ('NCT').  As a consequence, the
1,717,565 Ordinary Shares in the Company, registered in the name of NCT have
been reclassified and converted into non-voting ordinary shares of 50p each and
their listing on the Official List of the UK Listing Authority will be cancelled
with effect from 8.00 am tomorrow morning.  Admission to the Official List of
the 849,372 Consideration Shares will become effective and dealings on the
London Stock Exchange will commence at 8.00 am on 8 March 2005.



Shareholders also voted to cancel the amount standing to the credit of the
Company's capital redemption reserve to create an additional distributable
reserve, to cancel the Deferred Shares and amend the Company's Articles of
Association accordingly.  The cancellations will not take effect unless and
until confirmed by the High Court.  The Company intends to seek such
confirmation as soon as practicable and a further announcement will be made in
due course.
