Acquisition of Internetters Limited
iomart Group plc (the 'Company') today announces that it has acquired, through
its 75% owned subsidiary, iomart Internet Limited, the entire share capital of
Internetters Limited ('Internetters') for a total maximum consideration of
£250,000 in cash. Of this consideration, £200,000 is payable on completion with
a maximum balance of £50,000 being payable in three instalments dependent upon
Internetters' sales performance up to 30 April 2004.
Internetters is an ICANN accredited registrar of domain names, one of only
twelve in the UK. It is a web hosting and domain registration business with a
customer base of over 9,000 customers and 40,000 registered domains. Based on
the accounts of Internetters for the year ended 30 June 2003, the company
generated revenue of £770,000 and a pre tax profit of £2,000. Net assets as at
completion are expected to be £70,000.
The acquisition of Internetters increases the Company's customer base
substantially and will provide opportunities to sell the Company's other
products to existing Internetters customers. It is also anticipated that
significant reductions in Internetters' fixed cost base can be achieved by
merging its operations with those of the Company.
Nick Kuenssberg, chairman, said 'The acquisition of Internetters, in addition to
that of NicNames acquired in July 2003 and now successfully integrated, gives
the Company a total of over 35,000 customers and provides our web service
business with an excellent platform for growing revenue per customer'.
