Gifting of Shares to the InterX Onshore Employee Benefit Trust (the 'Trust')

Gifting of Shares
As mentioned in the Circular to Shareholders dated 29 March 2001, certain
shareholders have today gifted some 417,000 ordinary shares of 5p each in the
Company ('Shares') to the Trust. These individual shareholders, together with
the Board, believe it is imperative to incentivise employees through an
interest in the share capital of the Company - this is to be achieved through
a combination of the granting of options over unissued shares and the granting
of options over shares which have been gifted to the Trust.
Director's shareholding
Following the gifting to the Trust by Phil Sant of 82,857 Shares, Phil Sant is
now interested in 2,764,776 Shares, representing 7.9% of the Company's issued
share capital.
Notification of interest
Following the gifting to the Trust by Mark Knight of 82,857 Shares, Mark
Knight is now interested in 2,764,776 Shares, representing 7.9% of the
Company's issued share capital. Pursuant to section 198 Companies Act 1985,
the Board has been notified of this change.
