INTERX PLC
('InterX')
JOINT VENTURE WITH REED BUSINESS INFORMATION
Introduction
The Board of InterX plc ('InterX') today announces the formation of a new
joint venture company with Reed Business Information Limited ('RBI'), a member
of the Reed Elsevier plc group. Formed with the objective of creating the
UK's leading internet portal for IT professionals, the new company, called
ComputerWeekly.com Limited ('ComputerWeekly.com'), pools the existing UK
information technology on-line publishing activities of both RBI and IT
Network Limited.
Electronic Product Intelligence Limited
The creation of this joint venture with RBI, the market leader in UK business
publishing, enables IT Network Limited to focus entirely on its core expertise
- the provision of intelligent product information engines and other technical
and infrastructure services, all based on InterX's unique BladeRunner
technology. Accordingly, IT Network Limited, which will remain a wholly-owned
subsidiary of InterX, has been re-named Electronic Product Intelligence
Limited ('E-PI').
E-PI will continue to develop its IT product information skills and will
provide its database and technology to the joint venture in accordance with a
service agreement. E-PI will also retain the market research data generated by
the use of its product engines within the new portal, significantly enhancing
the value of its future market research products.
The joint venture agreement creates a framework for co-operation between RBI
and E-PI as both businesses look to expand their IT services in international
markets.
The Board of InterX believes that the contract to provide product information
and technical services to ComputerWeekly.com will be the first of a number of
similar contracts with third parties. These contracts, together with the
enhanced value of the market research data aggregated as a result of providing
these services, will provide significant new revenue streams for the InterX
group.
ComputerWeekly.com
The new portal will integrate and develop the on-line services currently
available on RBI's IT web sites, www.computerweekly.com, www.channelnet.co.uk
and www.distiedeals.co.uk and InterX's www.itnetwork.com.
The new portal will derive revenues from a combination of banner advertising,
sponsorship and the development and hosting of sophisticated, context-
sensitive microsites, as well as e-commerce transactions and lead generation
fees. Fundamental to the success of the joint venture is the ability of
InterX's BladeRunner technology to provide advertisers with detailed business
user profiles.
The joint venture will have the right to republish all the editorial content
of RBI's market-leading IT titles, which include Computer Weekly, Computer
Weekly e-business Review, MicroScope, Freelance Informer, The VAR, Network
Reseller Magazine, Business & Technology and Computer Trade Shopper.
On 9 May 2000, at this year's Periodical Publishers Association awards,
Computer Weekly won the award for Business Magazine of the Year. Computer
Weekly received praise from the judges for its 'comprehensive and
authoritative coverage of its sector'.
Operational Structure
The joint venture will be owned 75% by RBI and 25% by InterX. As part of the
RBI group, ComputerWeekly.com will be under the executive control of RBI, with
Rob Wirszycz, Chief Executive of E-PI, becoming a non-executive director. Both
RBI and InterX will transfer staff from their existing organisations to create
a new team based at InterX's Holden House site. www.itnetwork.com's sales,
marketing, editorial and production teams will be augmented by RBI staff who
will provide executive management, sales and editorial skills.
James Wickes, Chief Executive of InterX, commented:
'This joint venture is fundamental to our strategy of developing innovative
opportunities to globalise our product information systems and web platform
technologies. I am excited at the prospects for our businesses and the
further potential inherent in such a close relationship with one of the
world's leading business-to-business publishers.'
Neil Stiles, Publishing Director of RBI's Reed Computer Group and Chief
Executive of ComputerWeekly.com, added:
'The combination of ComputerWeekly.com's high traffic, news content and
recruitment service with InterX's product database, BladeRunner technology and
sales skills will create a service with a complete understanding of the needs
of the IT professional. Providing content in context, this combination will
drive higher value to customers. The model is both scaleable and portable to
other markets and the next step is to roll out this model into international
markets.'
