I2S plc (the 'Company')
The Company has been notified today that, on 29 March 2001, Neville Buch,
chairman of the Company, sold 939,000 ordinary shares of 25p each in the
capital of the Company (representing 12.7 per cent. of the Company's issued
share capital), at 50 pence per share, to Minevco Limited, a company wholly
owned by Mr Buch.
As a result of this transaction, the interests of Mr Buch in the Company are
as follows:

Note:
1. Mr Buch owns 50 per cent. of Owlcastle Limited which is interested in
525,000 ordinary shares. For the purposes of the above table Mr Buch has been
credited with half of Owlcastle's holding.
