I2s plc (the 'Company')
Director's Shareholding
The Company has today been informed that on 3 September 2001 Minevco Ltd, a
company wholly owned by Neville Buch, sold 939,000 ordinary shares of 25p
each (representing 12.65 per cent. of the issued share capital of the
Company) at 48.00p per share. Also on 3 September 2001, The N.D. Buch Life
Interest Settlement (of which Mr Buch is the sole beneficiary) bought 939,000
shares (12.65 per cent.) at 48.01p per share, 7,000 shares (0.09 per cent.)
at 52.00p per share and 25,000 shares (0.34 per cent.) at 53.00p per share.
As a result of this transaction, the interests of Mr Buch in the Company are
as follows:

Note:
1. Mr Buch owns 50 per cent. of Owlcastle Limited which is interested in
525,000 ordinary shares. For the purposes of the above table Mr Buch has been
credited with half of Owlcastle's holding.
