Transaction in Own Shares



ITV PLC announces that it has today purchased for cancellation through Citigroup
Global Markets U.K. Equity Limited 5,000,000 ordinary shares at an average price
of 104.51 pence per share. The highest price and the lowest price paid for these
shares were 104.75 pence and 104.0 pence respectively.





Upon the cancellation of these shares, the number of shares in issue will be
3,987,679,751.
