The Trustee (Mourant & Co. Trustees Limited) of the ITV plc Employees' Benefit
Trust purchased 6,000,000 ordinary shares in ITV plc on 17 December 2004 at
106.2p per share.

The Trust is a discretionary trust established by ITV plc for the benefit of
employees of ITV plc and its subsidiaries.
