                          Disclosure of Shareholding

Following the exercise of a total of 111,500 options to purchase Phytopharm
ordinary shares at 192.5p on 25 August 2000, Richard Dixey, Chief Executive of
Phytopharm has now increased his shareholding and is the beneficial owner of
8,043,500 ordinary shares in Phytopharm plc, representing 22.25% of the total
issued share capital of the Company.

Dr R P Dixey's ownership arises from the exercise of the option and his
holding of 50% of the share capital of Chakra Ltd, which owns 7,932,000 shares
in Phytopharm plc.
