In accordance with the FSA's Disclosure and Transparency Rules sourcebook
transitional provision 6, Phytopharm plc ('Phytopharm') would like to notify the
market of the following;

Phytopharm's issued share capital at 31 March 2007 consists of 55,606,309
ordinary shares with voting rights. The Company does not hold any shares in
Treasury. Therefore, the total number of ordinary shares in the Company with
voting rights is 55,606,309

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Phytopharm plc under the FSA's
Disclosure and Transparency Rules.
