COMPLETION OF acquisition of Jardine Strategic Holdings Limited by Jardine Matheson Holdings Limited

Further to the announcement made on 8 March 2021 by Jardine Strategic Holdings Limited ("Jardine Strategic") and Jardine Matheson Holdings Limited ("Jardine Matheson") in relation to the recommended cash acquisition by Jardine Matheson of the (approximately) 15 per cent. of Jardine Strategic's issued share capital which Jardine Matheson or its wholly-owned subsidiaries do not already own (the "Acquisition"), the announcement of the publication of the shareholder circular in connection with the Acquisition on 18 March 2021 and the announcement by Jardine Strategic of the results of the special general meeting held in connection with the Acquisition on 12 April 2021, all of the conditions to completion of the Acquisition have now been satisfied and the Acquisition has completed.

Jardine Strategic has made applications to: (i) the Financial Conduct Authority to cancel the listing of Jardine Strategic's shares on the Financial Conduct Authority's Official List with effect from 8.00 a.m. (UK time) on 15 April 2021; (ii) the London Stock Exchange to cancel the admission to trading of Jardine Strategic's shares on the London Stock Exchange's Main Market for listed securities with effect from 8.00 a.m. (UK time) on 15 April 2021; (iii) the Singapore Exchange to cancel the listing of Jardine Strategic's shares on the Main Board of the Singapore Exchange with effect from 9.00 a.m. (Singapore time) on 15 April 2021; and (iv) the Bermuda Stock Exchange to cancel the listing of Jardine Strategic's shares on the Bermuda Stock Exchange with effect from 5.00 p.m. (Bermuda time) on 14 April 2021.
