NOTIFICATION OF INTERESTS OF DIRECTORS AND CONNECTED PERSONS

The issuer advises that the following replaces the 'Director
Shareholding' announcement released today, 29 May 2001, at 11.00 am,
under RNS number 3009E.

The previous announcement incorrectly stated that all Directors of the Company
are deemed to have an interest in the shares held by the 1947 Trust as
discretionary objects under the trust. In fact, only Directors of the Company
who are within the category 'senior executive officers and employees'
are deemed to have an interest as discretionary objects under the
trust. All other details remain unchanged. The full amended text appears
below.

MATHESON HOLDINGS LIMITED ('THE COMPANY') HELD BY THE TRUSTEES
OF THE 1947 TRUST. THE INCOME FROM THE 1947 TRUST MAY BE DISTRIBUTED TO SENIOR
EXECUTIVE OFFICERS AND EMPLOYEES OF THE COMPANY AND ITS WHOLLY-OWNED
SUBSIDIARIES. AS A RESULT,  DIRECTORS OF THE COMPANY WHO ARE WITHIN THE
CATEGORY OF 'SENIOR EXECUTIVE OFFICERS AND EMPLOYEES' ARE
DEEMED TO HAVE AN INTEREST AS DISCRETIONARY OBJECTS UNDER THE TRUST.
