JARDINE MATHESON HOLDINGS LIMITED ('JMH)

1     ALLOTMENT OF SHARES

On 8 March 2001, JMH has allotted a total of 650,000 new ordinary shares
pursuant to JMH's 1995 Senior Executive Share Incentive Scheme as
follows:-

1.      595,000 ordinary shares under the International Share Option Plan
(1995) at an option price of US$6.405 per share.

2.      34,420 ordinary shares under the United Kingdom Unapproved Share
Option Plan (1995) at an option price of US$6.405 per share.

3.      20,580 ordinary shares under the United Kingdom Approved Share Option
Plan (1995) at an option price of US$6.405 per share.

The shares will be registered in the name of the Scheme Trustee, Clare
Investment and Trustee Company Limited.
