JARDINE MATHESON HOLDINGS LIMITED
SUBSTANTIAL SHAREHOLDER

On 29 September 2000, Jardine Matheson Holdings Limited ('JMH') received
notification from Brandes Investment Partners, L.P. ('Brandes') that in light
of the recent repurchase of approximately 165 million of its own shares by
JMH, Brandes had an interest in 70,754,787 JMH shares as of 25 September 2000
representing 10.97% of the outstanding issued share capital of JMH.

It is believed that most of these shares are registered in the name of The
Central Depositary (Pte) Limited.
