JARDINE MATHESON HOLDINGS LIMITED ('JMH')
Substantial Shareholders
Following the repurchase and cancellation of 165,214,964 shares by JMH on 25th
September 2000 under the Tender Offer, we received notifications today from
the following substantial shareholders of JMH of their change of interest on
25th September 2000:-
1. Jardine Strategic Holdings Limited ('JSH')
JSH's interest in JMH increased from 41.53% to 52.17%. JSH's interest is made
up as follows:-

2. Jardine Securities Limited ('JSL')
The interest of JSL, a wholly-owned subsidiary of JSH, in JMH increased from
12.23% to 15.36%.
3. 1947 Trust
The interest of the 1947 Trust in JMH increased from 4.43% to 5.57%.
