JARDINE MATHESON HOLDINGS LIMITED ('JMH')

(1) Share Repurchase

Please be advised of the following repurchase by JMH of its ordinary shares in
the market:-

Date of repurchase:                    20 June 2000
Total number of shares repurchased:    13,079,488 shares
Price paid per share:                  US$4.57  

(2) Substantial Shareholder

Following the repurchase detailed in (1) above and the completion of the
cancellation in due course by JMH of the relevant repurchased shares, Jardine
Strategic Holdings Limited's ('JSH') interest in 
JMH increased from 40.78% to 41.43%. JSH's interest is made up as follows:-
