                                 Board Changes

Following the announcement on 1 June 2005 by Manchester Square Enterprises
Limited, a wholly owned subsidiary of Pentland Group Plc, that its offer for The
John David Group plc ('JD' or 'the Company') is now unconditional in all
respects, and in line with statements made in the offer document issued on 11
May 2005, JD can confirm it has received notice of and accepted the resignation
of John Wardle and David Makin as non-executive Directors of the Company. John
and David will leave the Board of JD with immediate effect.
