John Lewis of Hungerford plc (the "Company")
Employee Share Incentive Plan, Directors' Dealings and Confirmation of Total
Voting Rights
The Company announces today that it has recently established an employee share
incentive plan, the John Lewis of Hungerford plc Share Incentive Plan
("the Plan") to reward and further motivate the Company's management and
employees.
The Company has issued 18,000,000 new ordinary shares of 0.1p each (the Plan
Shares), which will be held by Capita Trustees Limited on trust for those people
who have been granted awards and may in the future be granted awards over shares
under the Plan. Shares awarded under the Plan will be awarded free of charge to
the recipient but will be forfeited if the person to whom the award is made
leaves the Company's employment within three years of the date on which the
award is made.
The Plan's trustees have approved the grant of awards over 6,670,622 Plan Shares
to the Company's general employees. In addition, the Company announces that on
12 February 2008 the Plan's trustees approved the grant of an award over
3,773,547 Plan Shares, with an aggregate value of £99,999 (based on the closing
mid-market price of 2.65p per John Lewis of Hungerford share on 11 February
2008), to the Company's Managing Director, Jon Rosby, and the grant of an award
over 3,773,547 Plan Shares, also with an aggregate value of £99,999, to the
Company's Sales Director, Charlotte Hill-Baldwin.
Application has been made today for the 18,000,000 Plan Shares to be admitted to
trading on AIM. Trading in the Plan Shares on AIM is expected to commence on 20
February 2008.
Following the issue of the Plan Shares the Company's issued share capital will
consist of 166,745,519 ordinary shares with a nominal value of 0.1p per share
with voting rights (one vote per ordinary share). The Company does not hold any
ordinary shares in treasury. The figure of 166,745,519 ordinary shares may be
used by shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to their
interest in, the Company under the Financial Services Authority's Disclosure and
Transparency Rules.
The Directors' beneficial interests in the Company following the issue of the
Plan Shares are as follows:
