DIRECTORS INTERESTS IN JOHNSON MATTHEY PLC SHARES -
N A P CARSON

The Company has been advised that, in addition to his other interests in the
shares of Johnson Matthey plc previously disclosed (details set out below), Mr
Carson is also interested in 360 Johnson Matthey shares which are held by the
Trustee (T Rowe Price) of US Employee Savings Investment Plan (the US Plan).

Mr Carson ceased making contributions to the US Plan in 1989 but the Trustee
continues to hold the investment in trust for him in accordance with the Trust
Deed and Rules.
