            REPURCHASE OF SHARES IN JOHNSON MATTHEY PLC

Johnson Matthey Plc announces that on 29 August 2001, it purchased for
cancellation 1,100,000 ordinary shares of Johnson Matthey Plc at an average
price of 1009.64 pence per share.  Upon the cancellation of these shares, the
number of shares in issue will be 221,534,179.
