REPURCHASE OF SHARES IN JOHNSON MATTHEY PLC

Johnson Matthey Plc announces that on 21st September 2001, it purchased for 
cancellation 60,000 ordinary shares of Johnson Matthey Plc at an average price 
of 757.41 pence per share. Upon the cancellation of these shares, the number of 
shares in issue will be 219,406,023.
