        Completion of transaction with Minit PLC

Johnson announces that on 26 April 2000, it completed the
disposal to Minit PLC of Sketchley Limited, formerly
called Semara Holdings Plc, in accordance with the Minit
Agreement as described in Section 9 of Part IV of the
circular to Johnson shareholders of 31 January 2000.

The definitions set out in the circular dated 31 January
2000 apply in this announcement.
