     Completion of compulsory acquisition procedure
                and closure of the offer

Johnson announces that on 20 April 2000, pursuant to
section 429 of the Companies Act 1985, it completed the
compulsory acquisition of those Semara Shares for which
acceptances of the Offer of 31 January 2000 had not been
received.  As a result of the compulsory acquisition,
Johnson has acquired 100 per cent. of the issued Semara
Shares.
