Johnson Service Group PLC hereby gives notice pursuant to Section 329
Companies Act 1985 ('the Act') that on 6th April 2001 the Trustee of the
Johnson Service Group PLC Incentive Plan ('the Scheme') transferred 113,153
Ordinary shares of 10p each to certain employees, under the rules of the Trust
Deed.

The Directors of the Company Mr R G F Zerny, Mr M A Sutton, Mr P M Robinson
and Mr D Bryant in their capacity as members of the class of beneficiaries
under the Scheme, are deemed to have a non-beneficial interest in the
remaining 191,498 shares in the Trust.

Of the reduced number of shares held by the Trustee the Directors have the
following shares allocated to them, pending the achievement of the performance
criteria of the Long Term Incentive Plan.

The net number of shares remaining allocated to the Directors.
