Johnson Service Group hereby gives notice pursuant to Section 329 of the
Companies Act 1985 ('The Act') that on 5th March 2002 the Trustee of the
Johnson Service Group PLC Incentive Plan ('The Scheme') transferred 36,371
Ordinary shares of 10p each to certain employees, under the rules of the Trust
Deed.
The Directors of the Company, Mr R G F Zerny, Mr M A Sutton, Mr P M Robinson
and Mr D Bryant, in their capacity as members of the class of beneficiaries
under the Scheme, are deemed to have a non-beneficial interest in the
remaining 155,127 shares in the Trust.
Of the reduced number of shares held by the Trustee the Directors have the
following shares allocated to them, pending the achievement of the performance
criteria of the Long Term Incentive Plan
