                  EGM resolution passed

Johnson Service Group PLC announces that the resolution
contained in the circular posted to shareholders on
31 January 2000 was approved at today's EGM. The EGM was convened to approve
the acquisition by Johnson of Semara Holdings Plc, the transaction with Minit
PLC and the increase in Johnson's borrowing powers.

The first closing date of the offer is 21 February 2000 after which a further
announcement will be made.
