Bear Stearns Private Equity Limited - Result of Extraordinary General Meeting

The Board of Directors of Bear Stearns Private Equity Limited (the 'Company') announces that at the Extraordinary General Meeting of the Company held on Friday, 5 September 2008, all the resolutions, as set out in the notice of meeting contained in the circular sent to Shareholders on 7 August 2008, were duly passed.  

The name change to J.P. Morgan Private Equity Limited will become effective within a few weeks from 5 September 2008, pending approval from the Guernsey Registry.  Following this approval, the Company's tickers will be changed to 'JPEL' and 'JPEZ' for Equity shares and ZDP shares, respectively.  A further announcement will be made in due course.  

The name change provides the Company's shareholders with the benefits of investor familiarity with the JPMorgan brand as well as the continued private equity investment expertise of the Company's Manager. Both the Manager and the team currently running the Company, led by Gregory Getschow and Troy Duncan, will continue to be responsible for all of the Company's investment decisions and its other day to day activities.

The Company's website address will also change to reflect the Company's new name.  Following the approval of the name change, the Company's website will be available via www.jpelonline.com, and www.jpelonline.co.uk. Additionally, the URLs for www.bspel.com and www.bspel.co.uk will redirect to the newly branded JPEL websites.

Terms used in this announcement shall have the same meaning as those set out in the circular to shareholders dated 7 August 2008.  Copies of the resolutions passed have been submitted to the Document Viewing Facility of the UK Listing Authority and will shortly be available for inspection at:
